Tax Aspects of Second-Hand Vehicle Sales in Light of Recent Amendments to the Regulation on the Trade of Second-Hand Motor Land Vehicles

<h2>Presidential Decree No. 6923, amending the Decree on State Aid for Investments, was published in the Official Gazette dated March 10, 2023.</h2>
Yatırımlarda Devlet Yardımları Hakkında Kararda Değişiklik Yapılmasına Dair 6923 sayılı Cumhurbaşkanı Kararı, 10.03.2023 tarih ve 32128 Sayılı Resmi Gazete’de yayımlanmıştır. Karar’ın 1’inci maddesinde yapılan düzenleme ile, Yatırımlarda Devlet Yardımları Hakkında Karar’ın 16’ncı maddesinin ikinci fıkrasında yer alan “yatırımlara” ibaresinden sonra “ve elektrik enerjisi üretimine ilişkin yatırımlara” ibaresi eklenmiş, yapılan bu değişiklik ile elektrik enerjisi üretimine ilişkin yatırımlara yatırım yeri tahsis edilemeyeceği hükme bağlanmıştır.
Karar’ın 2’nci maddesi ile Yatırımlarda Devlet Yardımları Hakkında Karar’ın 17’nci maddesinin birinci fıkrasına eklenen ibare ile US-97 kodu 2519.0.04 olan vulkanize edilmiş kauçuktan taşıyıcı kolonlar ve transmisyon kolonları üretimine yönelik yatırımların (depremde hasar önleyici sismik izolasyon cihazı, epoksi kaplı öngerme halatı vb.). 5 inci bölgede uygulanan bölgesel desteklerden faydalanabileceği düzenlenmiştir.
Karar’ın 3’üncü maddesi ile, Yatırımlarda Devlet Yardımları Hakkında Karar’ın Yatırım süresi ve tamamlanma vizesi başlıklı 24’üncü maddesinin onuncu fıkrasına eklenen ibare ile bölgesel teşvik uygulamaları kapsamında desteklenen lisanssız güneş ve rüzgar enerjisinden elektrik enerjisi üretimine yönelik yatırımların tamamlama vizesinin, firmanın teşvik belgesine konu yatırıma ilişkin ilgili kurum tarafından düzenlenen geçici kabul belgesinin tasdikli sureti ile asgari sabit yatırım tutarının sağlandığına ilişkin tebliğle belirlenen yeminli mali müşavir raporunu Bakanlığa ibraz etmesi halinde yapılmış sayılacağı belirtilmiştir.
Kararın 4’üncü maddesi ile Yatırımlarda Devlet Yardımları Hakkında Karar’a Geçici 16 ve Geçici 17’nci maddeler eklenmiştir.
Geçici 16’ncı madde ile, 6/2/2023 tarihinden önce müracaat edilen ve bu tarih itibariyle süresi devam eden, 6/2/2023 tarihinde Kahramanmaraş İlinde meydana gelen depremlerden etkilenen Adana, Adıyaman, Diyarbakır, Elazığ, Gaziantep, Hatay, Kahramanmaraş, Kilis, Malatya, Osmaniye ve Şanlıurfa İlleri ile Sivas İlinin Gürün İlçesinde yapılmakta olan yatırımlar için düzenlenen yatırım teşvik belgelerinin süresinin herhangi bir talep alınmaksızın üç yıl uzatılmış sayılacağı düzenlenmiştir.
Geçici 17’nci madde ile de, 6/2/2023 tarihinde Kahramanmaraş İlinde meydana gelen depremlerden etkilenen Adana, Adıyaman, Diyarbakır, Elazığ, Gaziantep, Hatay, Kahramanmaraş, Kilis, Malatya, Osmaniye ve Şanlıurfa İlleri ile Sivas İlinin Gürün İlçesindeki yatırımlar için düzenlenen yatırım teşvik belgeleri ile 31/12/2024 tarihine kadar yapılacak müracaatlara istinaden bu illerde ve ilgili ilçede düzenlenecek yatırım teşvik belgeleri kapsamında;
a. Yatırımların finansmanı için kullanılan kredilere ve yapılan finansal kiralama borçlanmalarına ilişkin 11’inci maddenin dokuzuncu fıkrasında belirtilen geri ödeme yükümlülüklerinin, 3/2023 dönemi vadesinden 3/2025 dönemi vadesine kadar (belirtilen dönem vadeleri de dahil) yerine getirilememesi durumunda, faiz veya kâr payı desteği ödemeleri açısından geri ödeme yükümlülüğünün yerine getirilmediği yönünde işlem tesis edilmeyeceği ve geri ödeme yükümlülüğünün ödeme tarihlerinden sonra yerine getirilmesi durumunda ise yükümlülüğün vadesinde yerine getirildiği kabul edilerek destek ödemesi yapılacağı;
b. Kullanılan kredinin bakiye kısmının tahsil ve tasfiyesi için kullanılacak ve teşvik belgesinin yatırım süresi içinde aracı kurum tarafından Bakanlığa bildirimi yapılacak olan yeniden finansman kredisi ilave bir kredi olarak değerlendirilmeyeceği ifade edilmiştir.
Söz konusu Karar, yayımlandığı 10.03.2023 tarihi itibariyle yürürlüğe girmiştir.

<h2>Legal Evaluation of the Additional Tax Introduced by Law No. 7440</h2>
The Additional Tax obligation has been introduced for corporate income taxpayers for the year 2022 under Article 10/27 of Law No. 7440, titled "Law on the Restructuring of Certain Debts and Amendments to Certain Laws." In this article, we will examine and evaluate the aforementioned Additional Tax from a legal perspective within the scope of constitutional taxation principles.
Introduction
Law No. 7440 stipulates that an additional tax must be paid based on the amount that corporations have benefited from as exemptions and deductions from their taxable income for the year 2022, subject to reduced corporate income tax rates and taxable bases.

6/2/2023 tarihi itibarıyla Adana, Adıyaman, Diyarbakır, Elazığ, Gaziantep, Hatay, Kahramanmaraş, Kilis, Malatya, Osmaniye ve Şanlıurfa İlleri ile Sivas İlinin Gürün İlçesinde kurumlar vergisi mükellefiyeti bulunanlar ek vergiden muaftır.
Ek Verginin Konusu
5520 sayılı Kanun ile diğer Kanunlarda yer alan düzenlemeler uyarınca kurum kazancının tespitinde dikkate alınan istisna ve indirim tutarları ile 5520 sayılı Kanunun 32/A maddesi kapsamında indirimli kurumlar vergisine tabi matrahlar ek verginin konusunu oluşturmaktadır. 
5520 sayılı Kanun ile diğer kanunlarda yer alan ve ek verginin konusuna giren istisnalar aşağıdaki gibidir:

Ek Verginin Hukuki Durumu
Anayasal ilkelerden hukuk devleti/hukuk güvenliği ilkeleri ve bu kapsamda belirlilik ilkesi, mali güce göre vergilendirme/vergi adaleti ilkeleri kapsamında ek vergi düzenlemesi irdelenecek ve anayasal ilkeler kapsamında uygunluğu açıklanmaya çalışılacaktır.
a) Belirlilik İlkesi AçısındanBelirlilik İlkesi Açısından
Anayasa’nın 2. maddesinde yer alan hukuk devletinin temel ilkelerinden biri “belirlilik”tir. Bu ilkeye göre, kanun düzenlemeleri hem kişiler hem de idare yönünden herhangi bir tereddüde ve şüpheye yer vermeyecek şekilde açık, net, anlaşılır ve uygulanabilir olmalıdır. Belirlilik ilkesi, hukuki güvenlikle bağlantılı olup birey hangi somut eylem ve olguya hangi hukuki neticenin bağlandığını bilmelidir. Birey ancak bu durumda kendisine düşen yükümlülükleri öngörebilir ve davranışlarını belirler. Hukuk güvenliği, normların öngörülebilir olmasını, bireylerin tüm eylem ve işlemlerinde devlete güven duyabilmesini, devletin de yasal düzenlemelerde bu güven duygusunu zedeleyici yöntemlerden kaçınmasını gerekli kılar (Anayasa Mahkemesi 26.12.2013 gün ve E.2013/67, K2013/164).
Kişilere hukuk güvenliğinin sağlanması, Anayasa’nın 2. maddesinde belirtilen hukuk devletinin ön koşullarındandır. Hukuk güvenliğinin sağlanması, bu doğrultuda yasaların geleceğe yönelik öngörülebilir belirlemeler yapılabilmesine olanak verecek kurallar içermesini gerekli kılar. Geriye dönük düzenlemelerle kişilerin haklarının, hukuki istikrar ve güvenlik ilkesi gözetilmeden kısıtlanması hukuk devleti ilkesiyle bağdaşmaz.
Hukuk devletinin hukuk güvenliği ilkesi vergilendirmede belirliliği de gerektirir. Belirlilik ilkesi, yükümlülüğün hem kişiler hem de idare yönünden belli ve kesin olmasını, yasa kuralının, ilgili kişilerin mevcut şartlar altında belirli bir işlemin ne tür sonuçlar doğurabileceğini makul bir düzeyde öngörmelerini mümkün kılacak şekilde düzenlenmesini gerektirir. Vergilendirme mükellefler yönünden güvensiz bir sisteme dönüşmemelidir (Anayasa Mahkemesi E. 2004/94, K. 2008/83, T.20.3.2008).
Ticari ve sosyal hayatın yürüyebilmesi için belirlilik ilkesi vazgeçilemez bir hukuki güvencedir. Hukukun özel ve tüzel her türlü öznesi belirlilik ilkesi güvencesine dayanarak faaliyetlerini yürütmekte, iktisadi ve ticari her türlü planlama ve yatırımı bu ilke güvencesinde yapmaktadır.
Nitekim “5084 sayılı Yatırımların ve İstihdamın Teşviki ile Bazı Kanunlarda Değişiklik Yapılması Hakkında Kanun” kapsamında gelir vergisi stopajı teşviki uygulanan ücretlerin vergilendirilmesinde asgari geçim indiriminin dikkate alınacağı öngörülen kanun hükmüne karşı ilgili gelir vergisi stopajı teşvikinden eksik yararlandırılan tutarın iadesi istemiyle açılan davada Anayasa Mahkemesi 22.12.2011 tarih, Esas No:2010/7, Karar No:2011/172 sayılı kararında: “İtiraz konusu kuralla, yükümlüler için uygulanacak gelir vergisi stopajı teşvik sisteminin geriye dönük olarak değiştirilmesiyle belirlilik ve öngörülebilirlik ilkeleri ihlal edilmiş; yatırımcı, teşvikli yatırıma başladığında yürürlükte olan kurallar yerine, daha az teşvikten yararlanacağı, yatırımı yaparken bilmediği kurallarla karşı karşıya kalmıştır. 6.6.2008 tarihinden önce başlayan ve bu tarihten sonra da devam eden teşvikli yatırımlar için yasayla geriye dönük olarak açık bir müdahale yapılmıştır. ” şeklinde belirtmiş ve “ kanunun yayımı tarihinden öncesine yönelik bir düzenleme getirmesi, bu tarihten önce yatırıma başlayan yükümlülerin öngöremeyecekleri şekilde, aleyhlerine sonuç doğurmasının kamusal yetkinin kullanılmasında herkesi eşit biçimde kapsamına alarak öngörülebilir olmasını sağlamakla yükümlü hukuk devleti ilkesine aykırılık oluşturduğuna” hükmederek söz konusu kanun maddesini iptal etmiştir.
Mükellefler 2022 yılı hesap dönemine ilişkin ne kadar vergi ödeyeceklerini bilmekte ve ticari/iktisadi planlarını buna göre yapmakta iken kapanmış olan 2022 vergi dönemine ilişkin ek bir vergi getirilmesinin belirlilik ilkesinin ihlali olacağı ve hukuk devleti niteliğiyle bağdaşmayacağı kanaatindeyiz.
b) Geriye Yürümezlik İlkesi Açısından
Anayasa Mahkemesinin çeşitli kararlarında kanunların geriye yürümezliği ilkesi ile ilgili olarak gerçek geriye yürüme ve gerçek olmayan geriye yürüme ayrımı yapılmaktadır. Gerçek geriye yürüme, yeni getirilen kuralın eski kural döneminde tamamlanmış ve hukuki sonuçlarını doğurmuş hukuksal durum, ilişki ve olaylara uygulanmasıdır. Gerçek olmayan geriye yürüme ise yeni getirilen kuralın eski kural yürürlükte iken başlamakla beraber henüz sonuçlanmamış hukuksal durum, ilişki ve olaylara uygulanması anlamına gelmektedir. Anayasa Mahkemesi kararlarında ve doktrinde kural olarak gerçek geçmişe yürüme Anayasa’ya aykırı, gerçek olmayan geriye yürüme ise Anayasa’ya uygun sayılmaktadır (Anayasa Mahkemesi, K. 2019/26345, T. 22.9.2022).
Vergi hukukunda geriye yürümenin söz konusu olup olmadığının saptanabilmesi için vergiyi doğuran olayın ne zaman meydana geldiğinin tespiti gerekmektedir. Bu nedenle somut olayda anılan kanun değişikliğinden önce gelir vergileri bakımından vergiyi doğuran olayın gerçekleşip gerçekleşmediği hususu önem taşımaktadır. Buna göre vergilendirme dönemi içindeyken değiştirilen vergi oranlarına ilişkin düzenlemenin yılın başından itibaren yürürlüğe konulması benimsenen vergi sisteminin bir sonucu olup bu durumda kanunun gerçek anlamda geriye yürümesinden söz edilemez. Aksi halde ise, yani vergilendirme dönemi bittikten sonra değiştirilen vergi düzenlemesinde ise gerçek anlamda geriye yürümenin varlığının kabulü gerekir.
Yazımız konusu 7440 sayılı Kanun m.10/27 ile getirilen ek vergi kurumlar vergisi mükelleflerine getirilen ek vergiler olup, kurumlar vergisinin konusunu teşkil eden ticarî kazanç açısından vergiyi doğuran olayın tespitinde hesap dönemi sonunun esas alınması gerekir.
Vergi Usul Kanunu hesap dönemini esas itibariyle takvim yılı olarak belirlediğinden hesap döneminin sonu 31 Aralık tarihidir. Dolayısıyla kurumlar vergisi açısından vergiyi doğuran olay, kurumlar vergisi mükelleflerinin bir takvim yılı itibarıyla öz sermayelerindeki artış miktarı olup bu kazanç 31 Aralık tarihinde yapılan dönem sonu kapanış kayıtlarıyla ortaya çıkmaktadır (Anayasa Mahkemesi GK, E. 2018/103, K. 2019/4,T. 13.2.2019).
1999 depremi sonrasında getirilen ek vergi ile ilgili olarak; 1999 depremine ilişkin çıkarılan 4837 sayılı Kanun ile 1998 yılında kurumlar vergisi ve gelir vergisi mükellefleri bakımından, 1998 yılı gelir ve kurumlar vergisi matrahları üzerinden %5 oranında ek gelir ve ek kurumlar vergisi alınacağı hüküm altına alınmış, Anayasa Mahkemesi’ne yapılan iptal başvurusunda ise ilgili vergi düzenlemesinde kamu yararı gerekliliği ve 1998 yılına ait gelir ve kurumlar vergisi hesaplanırken mükelleflerin özel durumları ve malî güçleri gözetilmiş olduğundan bahisle geriye yürüme ilkesine aykırılığın istisnası olacağından bahisle yapılan iptal başvurusunu reddetmiştir.
7440 sayılı Kanun ile getirilen ek verginin mükelleflerinin yalnızca kurumlar vergisi mükelleflerinden belirlenen istisna ve indirimlerden faydalanan mükelleflerle sınırlı olması sebebiyle 4837 sayılı Kanun ile getirilen ek vergiden farklı olarak değerlendirilmesi, 7440 sayılı Kanun ile getirilen verginin ölçülülük ilkesi, vergi adaleti ve vergide genellik ilkeleri yönünden de incelenmesi gerektiği kanaatindeyiz.
c) Vergide Genellik İlkesi Açısından
Vergide genellik ilkesi, herhangi bir ayrım yapılmaksızın malî gücü olan herkesin vergi yüküne katılmasını ve vergi ödemesini ifade eder. Malî güce göre vergilendirme, verginin, yükümlülerin ekonomik ve kişisel durumlarına göre alınmasıdır. Vergide eşitlik ilkesi ise malî gücü aynı olanlardan aynı, farklı olanlardan ise farklı oranda vergi alınması esasına dayanır. Diğer bir anlatımla, yükümlülerin genel vergi yüküne kendi ödeme güçlerine göre katılmalarıdır.
Ekonomi ve vergi hukuku alanında malî güce ilişkin göstergelerin gelir, sermaye ve harcamalar olduğu kabul edilmektedir. Malî güç, ödeme gücünün kaynağı, dayanağı, nedeni ve varlık koşuludur. Yasa koyucunun vergilendirmede, kişilerin sahip olduğu ekonomik değer ile malî güçlerini göz önünde bulundurması gerekir (Anayasa Mahkemesi - GK, E. 2003/48 K. 2003/76, T. 23.7.2003).
7440 sayılı Kanun ile getirilen ek vergi yalnızca kanuni indirim ve istisnalardan faydalanan kurumlar vergisi mükelleflerini kapsamakta olup, vergide genellik, mali güce göre vergilendirme ve eşitlik ilkelerine aykırıdır. 2022 kurumlar vergisi hesap dönemi için kazanılmış hak olarak değerlendirilebilecek vergi avantajlarının hesap dönemi kapandıktan sonra yalnızca bir kısım mükellefler (indirim ve istisnalardan faydalanan mükellefler) yönünden kısıtlanmasıyla, söz konusu mükellefler için adaletsiz ve önceden öngörülemeyen ek bir yük oluşturulmaktadır.
Nitekim 4837 sayılı “Ekonomik İstikrarı Sağlamak İçin Ek Vergiler Alınması Hakkında Kanun” ile getirilen ve kanunda sayılı motorlu taşıtlar üzerinden bir defaya mahsus olmak üzere 2003 yılı için tahakkuk ettirilen motorlu taşıtlar vergisi tutarı kadar ek motorlu taşıtlar vergisi alınmasını öngörülen kanun hükmüyle ilgili Anayasa Mahkemesi “Güncelleştirilen yeni miktar üzerinden 2003 yılında ikinci kez ek vergi tahakkuk ve tahsil edilmek suretiyle vergi yükü araç sahipleri aleyhine ağırlaştırılmakta, gelir ve kurumlar vergisi yükümlüleri gibi diğer vergi mükelleflerine de yansıtılmamaktadır. Bu durum, vergi yükünün dengeli, adil, ölçülü ve eşit dağılımını engelleyerek Anayasa’nın 73. maddesinde öngörülen vergilendirme ilkelerine aykırılık oluşturmaktadır. Yasa’nın genel gerekçesinde, ekonomik istikrarı sağlamak ve kamu borç stokunun azaltılmasını temin amacıyla bu düzenlemenin yapıldığı açıklanmakta ise de bunun olağanüstü koşulların zorunlu kıldığı haklı bir neden olarak kabulü mümkün görülmemiştir.” şeklinde hüküm kurarak ek vergi ile getirilen vergi yükünün, diğer vergi mükelleflerine dağıtılmaksızın tek bir sınıf üzerinde bırakılması sebebiyle ilgili kanun hükmünü iptal etmiştir (Anayasa Mahkemesi - GK, E. 2003/48 K. 2003/76, T. 23.7.2003).
Benzer şekilde 4842 sayılı Kanun ile, 2003 yılı vergilendirme dönemlerine ilişkin olarak 1.1.2004 tarihinden sonra verilmesi gereken yıllık gelir ve kurumlar vergisi beyannameleri üzerinden hesaplanan gelir ve kurumlar vergisi tutarlarından ayrıca fon payı hesaplanmayacağı belirtildikten sonra, itiraz konusu kuralla, bu kazanç ve iratlara ilişkin olarak vergilendirme dönemi içinde ödenen fon paylarının mahsup ve iadeye konu olmayacağı öngörülmüştür. Anayasa Mahkemesi 20.03.2008 tarih, Esas No:2004/94, Karar No:2008/83 sayılı kararında da “2003 yılında tevkif suretiyle fon payı ödeyen mükellefler aleyhine vergi yükü ağırlaştırılarak aynı vergilendirme dönemlerinde tevkifata tabi gelir elde etmiş mükellefler ile tevkifata tabi gelir elde etmemiş mükellefler arasında vergi yükünün dağılımında adalet ve denge bozulmuş ve Anayasa’nın 73. maddesinde yer alan “herkesin mali gücüne göre vergi ödemesi” ile “vergi yükünün adaletli ve dengeli dağılımı” ilkelerine aykırılık oluşmuştur.” şeklinde hüküm kurarak yalnızca belirli bir sınıf mükellefin vergi yükümlüsü olmasını vergi yükünün dağılımında adaleti ve dengeyi bozduğu ve “vergi yükünün adaletli ve dengeli dağılımı” ilkelerine aykırılık teşkil ettiğine hükmetmiştir.
7440 sayılı Kanun ile getirilen ek verginin mükelleflerinin, yalnızca belirlenen indirim ve istisnalardan faydalanan kurumlar vergisi mükelleflerin olması hususunun Anayasa’nın 73. maddesinde “Vergi yükünün adaletli ve dengeli dağılımı, maliye politikasının sosyal amacıdır.” şeklinde düzenlenen “vergi yükünün adaletli ve dengeli dağılımı” ilkelerine aykırılık teşkil etmekte olduğu kanaatindeyiz.
Sonuç
7440 sayılı “Bazı Alacakların Yeniden Yapılandırılması ile Bazı Kanunlarda Değişiklik Yapılmasına Dair Kanun” m.10/27 ile getirilen ek vergilerin, anayasal vergilendirme ilkelerine aykırı olabileceğinden hareketle verilecek beyannamelerin ihtirazi kayıtla verilmesi ve vergi mahkemelerinde açılacak davalarda Anayasa’ya aykırılık iddiasının ileri sürülmesi mümkün bulunmaktadır.

What is the Electronic Data Submission System (e-Viz)?
In the fourth paragraph of Article 12 of the amended Regulation on the Procedures and Principles to be Followed in Tax Inspections based on the authorization of the Ministry of Treasury and Finance in Article 242 of the Tax Procedure Law; It is stated that the electronic books and documents that the Ministry allows to be kept electronically must be submitted by using the system created by the Ministry. As a result of the legislative amendments, the "Electronic Data Submission System" was developed, which enables electronic data to be submitted electronically. Electronic Data Submission System (e-Viz): It is a system that enables the electronic submission of electronic books and documents and other documents kept/produced in electronic environment to the Tax Inspector conducting the examination in electronic environment.
The e-Viz system is designed as an umbrella system. The system includes two separate systems: authorized identification and data submission.
1- Authorized Identification System (AIS): This system identifies the person(s) authorized to submit electronic books, documents and other documents. Access to the system will be provided via <a href="https://eviz-yts.hmb.gov.tr">https://eviz-yts.hmb.gov.tr</a> in order to identify, dismiss and forward the authorization documents/persons to the inspector.
2- Data Submission System: It is the system that enables the electronic submission of electronic books, documents and other documents in electronic environment and ultimately generates a submission document. This system uses the Identity Management System (IMS), which is a common input for applications. In order to upload electronic documents, use e-signature, forward them to the inspector and follow up; access to the system will be provided by directing to the common login application via <a href="https://eviz.hmb.gov.tr">https://eviz.hmb.gov.tr</a>.
A notification mail is sent to the Tax Inspectors regarding the authorized identification, dismissal and submission transactions made on the system.
An electronic signature obtained from electronic certificate service providers is required to sign the e-Submission Document electronically. You must also have the ArkSigner application installed on your computer.
Data Submission System: It is the system that enables the electronic submission of electronic books, documents and other documents in electronic environment and ultimately generates a submission document. With the Data Submission System;

An e-authentication document can be created for uploaded files,
</li>
<li>
The document produced using a secure electronic signature can legally certify the presentation,

Uploaded files and e-Submission Document can be forwarded to the relevant Tax Inspector.

</ul>
The Data Submission System will be available after the authorized identification process is completed. Only persons whose status in the Authorized Identification System is 'QMS Account Created' will be able to access the Data Submission System.
After logging into the Data Submission System, the main menu details on the user screen are briefly explained below.

<li>PIN Inquiry: This is the section where the PIN code used in the Authorized Identification System is entered, which is located under the Request Book and Document letter.</li>
<li>Electronic Data: This is the section where e-Ledger, e-document and other documents are uploaded. It consists of Electronic Data Transfer Transactions and Transmitted Electronic Data Documents sub-sections.</li>
<li>e-Submission Transactions: This is the section where queries can be made according to the status of the e-Submission Document, e-signature information and e-submission document can be viewed by going to the transaction detail.</li>
<li>Notifications: It is the section that includes the transactions made by the Tax Inspector regarding the submission.</li>
<li>User Guide: This is the section where the taxpayer user guide can be downloaded.</li>
<li>Support and Suggestions: This is the section where requests for the development of the system or situations encountered in the use of the system are communicated.</li>
</ul>
Technological developments continue to make radical changes in the business world. One of these developments is e-audit. In order to use e-audit effectively, the finance administration analyzes the electronic books and documents received from taxpayers with audit programs created within its own structure. e-Viz program was developed in this context.

Electronic Data Submission System (e-Viz)

ELECTRONIC AUDIT AND TECHNOLOGICAL DEVELOPMENTS
With technological developments, the use of computers and the internet in all areas of business life is becoming increasingly widespread. As a result of these developments, it is seen that the Revenue Administration has made legal regulations regarding the creation of electronic documents and records in order to facilitate tax audit. Article 257 of the Tax Procedure Law No. 213 states that the Ministry of Finance is authorized to determine different procedures and principles for electronic books, documents and records than the procedures and principles for other books, documents and records.
In the e-Ledger General Communiqué No. 1 issued pursuant to this authorization;
<ul>

Electronic Record: It refers to the smallest information element that is kept in electronic environment and constitutes electronic books and documents, which can be accessed and processed by electronic methods.
</li>
<li>
Electronic Ledger: It refers to the entirety of electronic records that contain the information required to be included in the books that must be kept in accordance with the Tax Procedure Law and/or the Turkish Commercial Code, regardless of the form provisions.
</li>
</ul>
The standard used in the e-Ledger determined by the Revenue Administration is the most flexible language in the field of financial reporting called XBRL (eXtensible Business Reporting Language), which is increasingly widely used in the world. The e-Ledger has the same legal consequences as the books kept in paper form within the framework of TPL and TCC (Journal of Accounting and Finance- January/2019- Technological Developments in Electronic Tax Audit and Steps to Full Audit- İlker CALAYOĞLU) Taxpayers can use the software they want, provided that it complies with the standards set by the Revenue Administration.
The widespread use of electronic books and documents, developments in computer-aided audit techniques and developments in digital data transfer and storage processes have made remote examination possible and triggered the process. As a result of the studies carried out in this context, the Electronic Data Submission System (eViz) Project was developed. The fact that the books and documents to be audited must be created in the form of electronic data facilitates e-audit.
Following the enactment of Law No. 7338 on the Amendment of the Tax Procedural Law and Certain Laws, work on sub-legislative arrangements was initiated and the Regulation on the Procedures and Principles to be followed in Tax Inspections was revised by including this system. Work on the realization of data submission in electronic environment, which is an important requirement of remote examination, was started simultaneously with the legislative arrangements. After the details of the project were determined, it was submitted to the General Directorate of Information Technologies as a 'Project Development Request' and as a result of the meetings and studies, the Electronic Data Submission (e-Viz) System was developed. e-Viz system is a system that enables electronic books and documents and other documents kept / produced in electronic environment to be submitted securely to the Tax Inspector conducting the examination in electronic environment.
Some of the risk-oriented e-audit applications developed by the Revenue Administration are as follows;

In order to examine e-books within the scope of electronic audit, programs that can open e-books, query and analyze predetermined issues are needed. Taxpayers commonly use programs such as Luca, Netsis, Logo, Zirve etc. In these programs, there is no limitation on the number of transactions both when creating accounting records and when creating customer current accounts. The fact that the number of transactions is not limited eliminates the problem of analyzing the book records piece by piece.
In the VDK-VEDAS software offered to the use of inspectors by the Tax Audit Board Presidency; E-Ledger and E-Invoice transfer, viewing and analysis, Balance Control, Reverse Balance Control, Balance Sheet, Balance Sheet and Other Accounts, Buyers and Sellers Report, Income and Cost Accounts, Dematerialized Inventory, Revenue Analysis, Adat, Benford Analysis, Duplicate Value / Values Control, Skipping Number Control (for numeric fields) etc. can be done.
E-Ledger data submitted by taxpayers to the administration are subjected to collapse analysis with the audit techniques established within the scope of tax laws with the VDK-VEDAS program. While taxpayers prefer accounting programs that have received RA e-ledger conformity approval, choosing programs that perform similar analysis to the audit and analysis uniqueness made with the VDK-VEDAS program will reduce the possibility of facing penal sanctions in audits.

Electronic Audit and Technological Developments

<h2>Does Stamp Duty Apply to Tenders for the Reconstruction or Repair of Disaster Areas?</h2>
In Article 1 of the Stamp Tax Law No. 488, the papers written in the table (1) attached to this Law are subject to stamp tax; in Article 3, the stamp tax payer is the signatories of the papers and the stamp tax of the papers issued due to the transactions between the official offices and the persons shall be paid by the persons; in Article 8, the official offices written in this law are the general and special budget administrations, special provincial administrations, municipalities and villages, and the economic enterprises affiliated to these departments with separate legal personality shall not be considered as official offices; In paragraph A/1 of the section titled "I-Papers related to contracts" of the table numbered (1) annexed to the Law, it is stipulated that contracts, commitment agreements and assignments containing a certain amount of money shall be subject to stamp tax at the rate of 9,48 per thousand; In the 2nd paragraph of the section titled "II- Decisions and decisions" amended by Law No. 5766, it is stipulated that all kinds of tender decisions of official departments and institutions with public legal personality, which are or are not subject to the Tender Laws, shall be subject to stamp tax at the rate of 5,69 per thousand.
According to the Stamp Duty Law, this law regulates the taxation to be carried out within its scope and explains the exemptions and exceptions provided. Some other laws also include exemptions and exceptions related to stamp duty. One of these laws is Law No. 7269 on Measures to be Taken and Assistance to be Provided Regarding General Life-Affecting Disasters, published in the Official Gazette dated 25.05.1959 and numbered 10213.
Article 1 of Law No. 7269 states that "The provisions of this law shall apply to measures to be taken and assistance to be provided in areas where structures and public facilities are significantly damaged or likely to be damaged due to earthquakes, fires, floods, landslides, rockslides, avalanches, displacement, and similar disasters that affect the general public." The law specifies the scope of its application.
Furthermore, Article 42 of the same law states that real estate transactions such as purchase, sale, mortgage, title-cadastre procedures, tenders, contracts, permits, and other transactions related to the reconstruction or repair of properties, as well as declarations, undertakings, and contracts made by beneficiaries of this law, shall be exempt from all types of taxes, fees, and duties.
Based on the provisions of the aforementioned article, in areas declared as general life-affecting disaster zones, real estate transactions, tenders, contracts, permits, and other procedures related to properties to be reconstructed or repaired that fall within the scope of Law No. 7269, as well as declarations, undertakings, and contracts made by beneficiaries of this law, will be exempt from all types of taxes, fees, and duties. Additionally, if stamp duty is paid for transactions within the scope of Law No. 7269, including progress payments, applications for correction and complaints can be made for refund of these taxes.
Considering the earthquakes centered in Kahramanmaraş on February 6, 2023, the provinces of Adana, Adıyaman, Diyarbakır, Elazığ, Gaziantep, Hatay, Kahramanmaraş, Kilis, Malatya, Osmaniye, Şanlıurfa, and the Gürün District of Sivas, which have been declared as general life-affecting disaster zones, transactions carried out within the scope of Law No. 7269, including declarations, undertakings, and contracts, will be exempt from all types of taxes, fees, and duties. If these taxes are paid, applications for correction and complaints can be made for refund of these taxes.

<h2>PROHIBITION OF PAYMENT IN FOREIGN CURRENCY IN EXPORT-REGISTERED SALES</h2>
In Article 4, paragraph "g" of Decree No. 32 on the Protection of the Value of the Turkish Currency, published in the Official Gazette dated 11/8/1989 and numbered 20249, it is stated that "Resident individuals in Turkey, except for cases determined by the Ministry, cannot agree in foreign currency or indexed to foreign currency for any kind of securities and real estate transactions, including vehicle and financial leasing, as well as any kind of securities and real estate leasing, leasing, service, and work contracts between themselves." In Article 20 of the same decree, it is stated that the Ministry of Treasury and Finance is authorized to take any necessary measures to ensure the implementation of the decree and to protect the value of the Turkish currency. In line with this authority, the Ministry of Treasury and Finance issued the Regulation on Decree No. 32 on the Protection of the Value of the Turkish Currency, numbered 2008-32/34, in which the matters left to the discretion of the Ministry were regulated. While Article 8, paragraph nine of this regulation states that "Resident individuals in Turkey are allowed to agree on the contract price and other payment obligations arising from securities sales contracts, except for vehicle sales contracts, in foreign currency or indexed to foreign currency," the sentence "However, it is obligatory for the payment obligations under the contract to be fulfilled and accepted in Turkish currency" was added to the end of paragraph nine of the same article by Regulation No. 2022-32/66 published in the Official Gazette dated 19.04.2022, and the amendment entered into force on the date of publication.
According to the aforementioned amendment, as of 19/4/2022, it is prohibited to make payments in foreign currency for sales other than vehicle and real estate sales. Accordingly, while it is possible to have the contract in foreign currency for such sales, it is prohibited to make the payment in foreign currency. Public institutions and Turkish Armed Forces Strengthening Foundation companies are exempt from this requirement.
Regarding the mentioned amendment, a press release was issued by the Ministry of Treasury and Finance on April 21, 2022, specifying the implementation principles. In the press release, it was stated that there is no obligation to fulfill and accept payment obligations in Turkish currency for securities sales contracts concluded/ to be concluded between residents in Turkey and residents abroad. However, no statement was made regarding whether export-registered sales are subject to this obligation.
Upon the request for an opinion regarding whether payments for export-registered goods can be made in foreign currency, a letter was issued by the Financial Markets and Exchange General Directorate of the Ministry on 23.06.2022 with reference number E-37518347-045.991304383. In the said letter, it was stated that since export-registered sales among residents in Turkey are considered as securities trading according to the current legislation, it is not possible to make and accept payments in foreign currency for such sales. However, it was mentioned that the subject is among the topics evaluated by the Ministry. However, no evaluation has been made by the Ministry on this issue during a period of over a year.
Currently, it is mandatory to pay the price in Turkish Lira for export registered sales, and until a legal regulation or any evaluation by the Ministry is made on the matter, payment in foreign currency is prohibited. In case of non-compliance with this prohibition, administrative fines ranging from 14,200 TL to 118,500 TL may be imposed for the year 2022, applicable separately to each party, in accordance with Article 3 of Law No. 1567 on Protection of the Value of Turkish Currency and relevant legislation. In 2023, considering the revaluation rates, these amounts range from 31,680 TL to 264,294 TL. In case of repeat offenses, these fines are applied twice. According to Law No. 1567, since the subject of the offense is foreign currency, the "foreign exchange selling rate" of the Central Bank of the Republic of Turkey will be taken into account in the calculation of the administrative fine based on the date the act was committed.

Legal Status of Foreigners in Turkey

<h2>Does VAT Apply When Shareholders Are Buyers in Partition Sales (Liquidation of Co-ownership)?</h2>
Partition sales, also known as "izale-i şüyu" in Turkish, refer to a type of lawsuit that terminates the existing ownership relationship among co-owners of immovable or movable property, allowing for individual ownership. If the division of jointly owned or co-owned assets is not possible, a decision may be made to liquidate the co-ownership through a sale.
According to Article 1/3-d of the Value Added Tax Law No. 3065, all types of sales, including auctions, negotiations, and other forms of sales conducted in auction venues, due to partition sales (izale-i şüyu), are subject to VAT. The provisions of the law regarding exemptions and tax rates are also applicable to these sales.
According to Article 6.1 of the General Application Communiqué on Value Added Tax, if one of the buyers in a partition sale is a shareholder, there will be no transfer of ownership for that share, and this portion will be deducted from the tax base and not subject to taxation.
To illustrate with an example, if you own a 2/10 share of a real estate property and you purchase a 5/10 share through a partition sale, taxation will only be applied to the 3/10 share, and the 2/10 share will be deducted from the tax base.
Transfer of Shares Among Shareholders and VAT
If the shareholders of the property subject to partition sales transfer their shares to each other by purchasing the property, this will not be considered a separate sale. Instead, taxation will be based on the total increase in the shares held by the shareholders resulting from the partition sale.
For example, in a partition sale of a property where the shareholders are K1 with a 7/10 share, K2 with a 1/10 share, and K3 with a 2/10 share, if K1 and K2 purchase equal 5/10 shares each, only the 2/10 share transferred from K3 will be subject to VAT. The transfer of K1's 2/10 shares to the other shareholder will not be subject to taxation in this context.
In a similar vein, the 4th Chamber of the Council of State (Danıştay) ruled in its decision dated April 14, 2016, with reference numbers E. 2015/6931 and K. 2016/1625, that in an auction for the liquidation of co-ownership of a property, where four out of five shareholders purchased the property by paying an equal amount, considering the delivery of a single property as a taxable transaction and determining the VAT base as the final sale price of that property, the individual proportions of the purchase amount paid by the buyers would not affect the calculation of the VAT base for that transaction.
In conclusion, if shareholders purchase the property through partition sales, no VAT will be paid for their respective share proportions. However, if the shares of a non-buying shareholder are acquired, VAT will only apply to that specific share.
